These Terms and Conditions (“Terms and Conditions”) set out the terms and conditions for use the Mentwai Services (“Services”) offered on or through the Site and/or the Application and/or through any modes, medium, Platform or format, including through Secure Digital (‘SD’) cards, tablets or other storage/transmitting device (hereinafter collectively referred to as the “Mentwai Platform”). This is a legally binding agreement between You i.e. the User of the Services and Mentwai Technologies Private Limited (“Company”) and states the terms that govern Your use of the Services. By accessing this Services, User consent, agree and undertake to abide, be bound by and adhere to the Terms and Conditions and if You do not agree, You should not access or use the Mentwai Platform and any use thereafter shall be unauthorized. "User" refers to you, the person visiting, accessing and/or using the Mentwai Platform by means of any communication device. All references to "You" and “Your" shall mean the User. Where Users are below the Age of Majority, all references to "User", "You" and “Your" shall mean and include You and Your parents/ legal guardians acting for and on Your behalf for Your benefit. All references to "Mentwai", "Company", "We", "Us" and "Our" shall mean Mentwai Technologies Private Limited. We reserve the right, at Our sole discretion, to change, modify or otherwise alter these Terms and Conditions at any time without prior notice. Such changes and/or modifications shall become effective immediately upon being posted/published on the Mentwai Platform herein. Please review the Terms and Conditions from time to time. Your continued use of the Services following the posting of changes and/or modifications shall constitute Your acceptance of any revised Terms and Conditions. The Company retains the right at any time to deny or suspend access to all or part of the Services to anyone who the Company believes has violated any of these Terms and Conditions.

ACCESS TO THE SERVICES
ACCESS TO THE SERVICES
In order to access and use the Services, you will be required to register and create an account on the Mentwai Platform by providing the requested details. To register on the Mentwai Platform, you must meet the ‘Age Requirements’ specified hereinbelow. By using the Mentwai Platform, you, through your actions, affirm that the Age Requirements are met. In order to register and create an account on the Mentwai Platform, You must have attained at least 13 years of age. However, students under the age of 18 are entitled to additional protection in compliance with various laws and regulations in force.
In the event a User who is desirous of registering on the Mentwai Platform is a “Minor”/ “Child” (i.e, below 16 years of age), then the User may use the Mentwai Platform with the consent of and under the supervision of, their parent or legal guardian (“Parent”). Accordingly, in such a case, the Parent must agree to the Mentwai Platform Terms and Conditions at the time of their registration on the Mentwai Platform. Please note that minors/children are not by themselves eligible to register on the Mentwai Platform. When a Minor/Child uses the Mentwai Platform, we assume that the Parent of such Minor/Child has enabled the Minor/Child’s usage of the Mentwai Platform by agreeing to the Mentwai Platform’s Terms and that such usage is under the supervision of their Parent. Your parents/legal guardians confirm that the Mentwai Platform is offered to You with their full consent and understanding and these User Agreement shall constitute a legally binding user agreement between the Company and Your parents/guardians who are contracting on behalf of You. Company reserves the right to terminate and / or restrict your access to the Mentwai Platform, if it is discovered that you do not meet the age Requirements and/or the consent to register and use the Mentwai Platform is not obtained as above. You acknowledge that Company does not have the responsibility to ensure that You conform to the aforesaid age requirements. It shall be Your sole responsibility to ensure that the required qualifications are met. The Company grants You a personal, revocable, non-exclusive and non-transferable right to access and use the Mentwai Platform, for non-commercial use and private viewing only, in accordance with the User Agreement. The User Agreement, govern Your access of the Mentwai Platform and any data, message, text, image, audio, sound, voice, codes, computer programmes, software, database, microfilm, video, information, content etc. that You host, publish, share, transact, display and/or upload. Please note that the availability of the Mentwai Platform in Your jurisdiction and Your ability to access the Platform is subject to the Company’s sole discretion. The Company may at its sole discretion restrict the Mentwai Platform from being accessed in certain geographical locations. You undertake that Your access of the Mentwai Platform shall be in compliance with all applicable laws (as amended from time-to-time). You understand that Your access of the Mentwai Platform and its contents may vary depending upon Your jurisdiction, device specifications, internet connection, etc. You acknowledge and agree that We will provide You only access to the Mentwai Platform and that You will be solely responsible for all equipment as may be necessary for You to access the internet, mobile and/or other connection, operator and service fees associated with Your access, etc.

You are responsible for maintaining the confidentiality of your account and password to access the Mentwai Platform. You acknowledge that your account is personal to you and agree not to provide any other person with access to the Mentwai Platform and to restrict access to your device to prevent any unauthorized access to your account.
You agree to accept responsibility for all activities that occur under your account. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your username, password, or other Personal Information.
You should take all necessary steps to ensure that the password is kept confidential and secure at all times and if you have any reason to believe that your password has become known to
anyone else, or if the password is being, or is likely to be, used in an unauthorized manner, you agree to immediately change your password or inform us of any unauthorized access to or use of your username or password, so that we are able to help you stop or prevent such unauthorized access. Please ensure that the details you provide us are correct and complete.
You represent that the information provided by you at the time of the registration are correct, true and accurate and you agree to update the same as and when there is any change in the said information.

You agree to fully indemnify, defend and hold harmless the Company, its affiliates, associates and group companies, and their respective directors, key managerial personnel, employees, officers, shareholders, agents, representatives and third-party providers from and against all losses, claims and damages including legal fees, resulting from:

Your breach of any applicable laws; (iv) any unauthorized, improper, illegal or wrongful use of your account by any person, including a third party, whether or not authorized or permitted by you; and
Your breach of any representation, warranty, covenant or undertaking under this User Agreement or under applicable law.
Your violation of any term of these User Agreement;
Your violation of any third party right, including without limitation any publicity, privacy, or intellectual property right;
Your breach of any applicable laws; (iv) any unauthorized, improper, illegal or wrongful use of your account by any person, including a third party, whether or not authorized or permitted by you; and
Your breach of any representation, warranty, covenant or undertaking under this User Agreement or under applicable law.
This indemnification obligation will survive the expiry or termination of these user agreement and your use of the Mentwai Platform.
You hereby expressly release the Company, its affiliates and any of their respective officers, directors, employees and agents from any cost, damage, liability or other consequence of any of the actions/inactions of any third-party vendors or service providers and specifically waive any claims or demands that you may have in this behalf against any of Company, its affiliates and any of their respective officers, directors, employees and agents under any statute, contract or otherwise.
You hereby expressly release the Company, its affiliates and any of their respective officers, directors, employees and agents from any cost, damage, liability or other consequence of any of the actions/inactions of any third-party vendors or service providers and specifically waive any claims or demands that you may have in this behalf against any of Company, its affiliates and any of their respective officers, directors, employees and agents under any statute, contract or otherwise.

In respect of the entire Mentwai Platform, Company reserves the following rights:
Company reserves the right to put on-hold or reject or suspend or terminate your registration on the Mentwai Platform for the purpose of complying with the legal and regulatory requirements.Your violation of any third party right, including without limitation any publicity, privacy, or intellectual property right;
Company reserves the right to remove your account without notice if you violate any provisions of the Mentwai Platform Terms.
Company may modify, terminate or refuse to provide Services at any time for any reason, without prior notice. Users shall be duly notified of any material modifications to the services. In the event that any paid services are disrupted by such modifications, the user shall be entitled to a refund on a pro-rata basis.
Notwithstanding anything contrary stated in the Mentwai Platform Terms, in its sole discretion, Company may remove anyone from the Mentwai Platform at any time for any reason.
Company reserves the right to access your account in order to respond to requests for technical support, to maintain the safety and security of the Mentwai Platform, legal purposes and for other legitimate business purposes, as necessary, in Company discretion.
Company has no obligation to monitor any content that appears on the Mentwai Platform or review any conduct occurring through the Mentwai Platform, including any interactions between Users, however, if Company receives notice or becomes aware of, any violation of the Mentwai Platform Terms, then, Company reserves the right to refuse your access to the Mentwai Platform, terminate accounts or remove such violating content at any time without notice to you.
Certificates awarded upon completion of a course or program are issued in accordance with established criteria and are subject to verification by Mentwai. The Company retains the right to revoke such certificates in the event of fraudulent conduct or failure to comply with the requisite course or program requirements.
Company reserves the right to put on-hold or reject or suspend or terminate your registration on the Mentwai Platform for the purpose of complying with the legal and regulatory requirements.Your violation of any third party right, including without limitation any publicity, privacy, or intellectual property right;

Company may modify, terminate or refuse to provide Services at any time for any reason, without prior notice. Users shall be duly notified of any material modifications to the services. In the event that any paid services are disrupted by such modifications, the user shall be entitled to a refund on a pro-rata basis.
Notwithstanding anything contrary stated in the Mentwai Platform Terms, in its sole discretion, Company may remove anyone from the Mentwai Platform at any time for any reason.
Company reserves the right to access your account in order to respond to requests for technical support, to maintain the safety and security of the Mentwai Platform, legal purposes and for other legitimate business purposes, as necessary, in Company discretion.
Company has no obligation to monitor any content that appears on the Mentwai Platform or review any conduct occurring through the Mentwai Platform, including any interactions between Users, however, if Company receives notice or becomes aware of, any violation of the Mentwai Platform Terms, then, Company reserves the right to refuse your access to the Mentwai Platform, terminate accounts or remove such violating content at any time without notice to you.
Certificates awarded upon completion of a course or program are issued in accordance with established criteria and are subject to verification by Mentwai. The Company retains the right to revoke such certificates in the event of fraudulent conduct or failure to comply with the requisite course or program requirements.

Force Majeure: Company shall not be liable for failure to perform, or the delay in performance of, any of its obligations, if the extent that, such failure or delay is caused by events substantially beyond its control, including but not limited to acts of God, acts of the public enemy or governmental body in its sovereign or contractual capacity, war, terrorism, floods, fire, strikes, epidemics, pandemics, civil unrest or riots, power outage, and/or unusually severe weather.
Severability: If any part of the Agreement is found to be unlawful, void or unenforceable, that part of the Agreement will be deemed severable and shall not affect the validity and enforceability of any remaining provisions. Any notice required to be given in connection with the Mentwai Platform shall be in writing and sent to the registered office of Company. We do not guarantee continuous, uninterrupted or secure access to the Mentwai Platform and operation of the Mentwai Platform may be interfered by numerous factors outside our control. Headings are for reference purpose only an on no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to any breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
These User Agreement contain the entire understanding between You and the Company and supersedes all prior understanding between the User and the Company in respect of the User's access and/or use of the Mentwai Platform.
You confirm that Your representations, warranties, undertakings and covenants and the clauses relating to indemnities, limitation of liability, grant of license, governing law, confidentiality shall survive the efflux of time and the termination of these User Agreement.
Any express waiver or failure to exercise promptly any right under these User Agreement will not create a continuing waiver or any expectation of non-enforcement.
The Privacy Policy, and any other documents, instructions, etc. shall be read into this and shall be a part of these User Agreement. The Privacy Policy shall form an integral part of the User Agreement and constitute a legally binding contract between the Company and the User.
These User Agreement shall be governed by and construed in accordance with the laws of the India and be subject to the exclusive jurisdiction of the Courts at Ernakulam, without giving effect to any principles of conflicts of law.
